  • WildBrain to Acquire Animation Pre-Production Co. House of Cool

WildBrain to Acquire Animation Pre-Production Co. House of Cool

Kids’ & family entertainment company WildBrain Ltd. has signed an agreement to acquire animation pre-production outfit House of Cool. The acquisition significantly expands and enhances WildBrain’s pre-production capabilities for premium animated series, specials and features.

Under the agreement, WildBrain will acquire full ownership of House of Cool. Closing consideration for the acquisition will consist of $15.5 million, with $10.25 million through the issuance of 4,479,406 WildBrain shares (the “Share Consideration”) and $5.25 million in cash (less any debt existing on closing and subject to customary working capital adjustments and holdbacks). Additionally, there is an earn-out of up to $6 million based on collection of tax credits earned up to closing.

Toronto-based House of Cool is an industry leader in pre-production, an essential early planning stage in animated feature or series creation when the story is developed and creative choices are made to establish the look, feel, style and pacing of a project, creating the blueprint for the launch of full production.

Bringing their experience and creative expertise, House of Cool executives and co-founders Wes Lui and Ricardo Curtis will be joining the WildBrain Studios senior management team in the newly created roles of Co-General Managers of House of Cool, reporting to Josh Scherba, President of WildBrain, who heads up the Company’s content and studio business.

“This acquisition is an investment in creative excellence. House of Cool is recognized as one of the very best pre-production companies in the global animation industry,” said Scherba.”We’re delighted to welcome Wes, Ricardo and their team on board at WildBrain, a combination of talent that will immediately broaden and deepen our collective creative strengths. Their expertise is highly complementary to our existing business, expanding and enhancing our pre-production capabilities, not only for WildBrain’s proprietary content but also for third-party projects. The acquisition also establishes a new entry point for IP owners to engage with WildBrain’s 360-degree offering across production, distribution and consumer products licensing.”

Collaborating closely with WildBrain’s award-winning animation studio in Vancouver, House of Cool will maintain operations at its Toronto facility, where their team of pre-production experts will be joining the Company. Adding House of Cool more than doubles WildBrain’s pre-production capacity, building on its existing pre-production team of approximately 80 based in Vancouver. The widely recognized House of Cool brand will be maintained as a distinct identity under the WildBrain banner.

“House of Cool’s mission is simple: bring audiences together through the artful telling of unique stories,” said Lui. “WildBrain shares our enthusiasm for storytelling, and from the moment they first approached us, we were ecstatic about combining forces and leveraging their 360-degree approach and our expertise in story and preproduction to develop, produce and distribute premium content. We will also further be able to offer more top-level creative services for all our clients.”

Curtis added, “As a fiercely independent operator for the last two decades, it would require something special for House of Cool to join another studio. WildBrain is that special. WildBrain has industry- leading expertise in production, distribution and licensing, and its reach on multiple platforms greatly expands our ability and scope to connect with audiences. Mixed with their deep catalog of properties — many I grew up with — hitching House of Cool’s wagon to WildBrain allows us to collaborate in previously unavailable ways on the premium content we are known for.”

Founded in 2004, House of Cool has worked with top studios, platforms and IP owners across the industry on some of today’s most recognizable animated features and series for kids and families as well as other demographics. They have worked on over 20 theatrical films, which have grossed over US$6.23 billion of box office receipts, providing a variety of pre-production services, including storyboarding; conceptual and visual development; character, environment and prop design; and the creation of animatic test videos.

Notable past feature projects for House of Cool include Despicable Me for Illumination, The Angry Birds franchise for Rovio and Sony Pictures Animation and The Peanuts Movie, Ferdinand and the Ice Age and Rio franchises for 20th Century Fox and Blue Sky Studios. Notable series include What if…? for Marvel Studios; Gravity Falls for Disney; Maya and the Three, The Magician’s Elephant, Trollhunters and Dragons: Race to the Edge for Dreamworks and Netflix; and Pretzel and the Puppies for HarperCollins Productions and Apple TV+.

The transaction is expected to close in the Company’s fiscal 2023 fourth quarter, subject to conditions to closing. The Share Consideration will be subject to the approval of the Toronto Stock Exchange and to a 12-month lock-up agreement.

WildBrain reaffirms its Fiscal 2023 guidance for revenue of approximately $525 million to $575 million and adjusted EBITDA between $95 million to $105 million.

‘Numberblocks’ Multiplies in 5 New Languages , Learning Blocks Channels Hit 10M YouTube Subs

Alphablocks Ltd. and Blue Zoo have announced new Numberblocks YouTube channels and apps to launch in five foreign languages: Portuguese, neutral Spanish, French, German and Korean.

Building on its broadcast popularity since being commissioned by the BBC for its CBeebies channel in the U.K.,  Numberblocks  is adding impressive digital streaming numbers. The English-language Numberblocks YouTube channel has over 5.3 billion views and has just broken 6 million subscribers.

The Blue Zoo digital team expanded last year into the Spanish and Portuguese markets with Numberblocks Español and Numberblocks Portugues to enthusiastic reception in countries such as Mexico, Chile and Brazil. This has been followed by the recent launch of Numberblocks in German and Korean. The team is exploring more potential language markets to build on this success.

As Numberblocks continues to grow on YouTube’s free-to-use platform, Blue Zoo and Alphablocks hope to see a positive impact on families globally. In the U.K., the national school curriculum has been brought forward to accommodate young children’s improved understanding of mathematics.

“The Numberblocks shows carefully map out an exciting maths learning trajectory for children, which works with curricula around the work, making this the perfect brand to deliver on interactive and on demand platforms internationally,” said Stephanie Gauld, Digital Director at Blue Zoo. “The positive initial reception to our foreign language YouTube channels, coupled with the popularity we see through global distribution, is very encouraging and we’re excited to see children around the world benefit.”

Multiple Numberblocks apps, produced by Alphablocks Ltd. and Blue Zoo digital, boost educational content for preschool children: Meet the Numberblocks (free), Numberblocks Hide and Seek (£2.99) and Numberblocks World, a maths learning journey packed with games, quizzes and videos and a sticker reward book (£3.99/month or £29.99/year).

“This is a very exciting time for us here at Blue Zoo Licensing. With the huge demand both in the U.K. and internationally for all things Blocks and with the appointment of international agents in key territories and the expansion of the product offering both in the U.K. and globally, we look forward to what will be an extremely busy year!” said Karen McNally, Licensing Director. “Our focus is to continue to build brand awareness, especially amongst retailers, and continue to sign high-quality licenses that reflect the ethos of the show and that fans and their parents have come to expect!”

OIAF Commemorates Hélène Tanguay with New Humor Award

The Ottawa International Animation Festival (OIAF) announces the creation of the Hélène Tanguay Award for Humor in recognition of the late National Film Board of Canada employee and 2007 OIAF Honorary President. A champion for the international animation community, Tanguay was known for her infectious sense of humor. In her honor, the new award recognizes animated works that convey a similar sense of wild, dark or absurd humor.

    Helene Tanguay
    Hélène Tanguay

“Hélène was beloved by all the classic animation festivals but her connection to the OIAF was special,” says OIAF Artistic Director Chris Robinson. “For many attendees, Hélène was a fixture of the OIAF since the 1970s, regaling festival-goers with countless hilarious stories about animation, travels, cats and … more cats. Having an award in her honor ensures that we keep her spirit going at future OIAFs — and given her love of every type of humor, from the silly to the dark to bawdy — it just makes sense that we celebrate and acknowledge humor in her name.”

The Hélène Tanguay Award for Humor joins the roster of awards at the OIAF, including the Grand Prize for Animated Feature, the Grand Prize for Animated Short, the Public Prize, the Canadian Film Institute Award for Best Canadian Animation, and a number of craft awards. The winner of this latest award addition will be selected by a handpicked, rotating jury of Tanguay’s friends and colleagues.

OIAF is open for film competition submissions until May 31, 2023. This year’s festival will run September 20-24. More information at animationfestival.ca.

Tanguay passed away on January 7. You can find her obituary here.

  • ‘Unfair City’ Spotlights Dublin’s Unhoused with AI Animation

‘Unfair City’ Spotlights Dublin’s Unhoused with AI Animation

Irish homelessness charity, Dublin Simon Community, has today launched a new brand film utilizing cutting-edge artificial intelligence technology, in a stated first for Ireland.

Created by advertising agency BBDO Dublin and New York-based mixed-media company LOBO (lobo.cx), the film entitled Unfair City is an advanced application of AI tech in animation, used to highlight the growing inequality of homelessness as Dublin Simon hopes to raise much-needed funds for such vulnerable people.

The film tells the story of Justin Cannon. Formerly homeless, Justin now advocates and volunteers for Dublin Simon. Justin was interviewed and his story was animated using AI image generators — in a way, crafting imagery in his own words. The result is a moving film that, surprisingly, shows how AI can facilitate authentic, human storytelling by protecting the narrator’s dignity and privacy.

Although the images are created with AI technology, using tools such as Midjourney and Disco Diffusion, human artists worked with the generated images to create the final watercolor effect. Unfair City was created in partnership with multi-award-winning director Diogo Kalil of LOBO and illustrator Vini Bustamante, who helped to fill the context around Justin’s words and shape the visual style of the film.

Dublin Simon shares that the project was born out of a desire to find new ways of highlighting the country’s homelessness crisis, a problem that has been getting steadily worse every year. It has become more challenging for charities to illustrate the impact and complex issues around homelessness and to inspire the public to offer help as the issue spirals out of control. It is also becoming ever more difficult and challenging for those who are homeless to tell their stories.

To help to increase levels of engagement, Dublin Simon deliberately utilized one of the most topical areas of technology, artificial intelligence, to create a film that would garner wider interest and appeal to a new audience of younger, more technologically-minded donors.

All work carried out by the advertising agency BBDO Dublin, director Diogo Kalil of LOBO and illustrator Vini Bustamante was completed on a pro-bono basis for Dublin Simon Community.
